1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of VendSoli (vendsoli.com), an online marketplace platform operated by Vendoriz Solutions Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria (RC 1750153). By creating an account, browsing, or using any part of the platform, you agree to be bound by these Terms. If you do not agree, please do not use the platform.

2. About VendSoli

VendSoli is a technology platform that connects independent vendors ("Vendors") with customers ("Buyers") for the sale of goods and services. Vendoriz Solutions Limited does not manufacture, stock, or own the products listed on the platform. Vendoriz Solutions Limited acts solely as an intermediary technology provider and payment facilitator between Vendors and Buyers.

3. Other Services on VendSoli

In addition to the marketplace, VendSoli may host other services, such as job listings, real estate information, courier and logistics, learning resources, fundraising, and similar features. These Terms apply to your use of the platform as a whole. Where any of these services involve payments, additional terms specific to that service will apply, and will be made available at the relevant point of use.

4. Eligibility and Account Registration

To use certain features of VendSoli, you must register for an account and provide accurate, current, and complete information, including your full name, phone number, email address, and (for Vendors) identity verification details such as BVN, NIN, or a valid government-issued ID, and bank account information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

5. Vendor Verification (KYC)

Before activation, all Vendors must complete our Know Your Customer (KYC) process, which includes providing full name, phone number, verified email address, business or home address, bank account details, a valid means of identification (BVN, NIN, or Voter's Card), and, where applicable, a Business Registration Certificate. Vendoriz Solutions Limited reserves the right to conduct Enhanced Due Diligence, including format validation, account name verification, manual review for high-volume transactions, documentation review, and sanctions screening, and may suspend or decline to activate any Vendor account that fails verification.

6. Orders, Payments, and Commission

When a Buyer places an order on a Vendor's store via VendSoli, payment is processed through our Paystack integration and received into Vendoriz Solutions Limited's designated account. Vendoriz Solutions Limited deducts an agreed platform commission from each transaction, and the remaining balance is held and subsequently paid out to the Vendor via bank transfer. Funds collected on behalf of Vendors are held in trust and are not used for the operational expenses of Vendoriz Solutions Limited other than the agreed commission.

7. Vendor Obligations

By listing products or services on VendSoli, Vendors agree to:

• Provide accurate and complete KYC information at all times
• List only products and services permitted under our Acceptable Use Policy
• Fulfil orders within the delivery timeline stated on their listings
• Respond to customer inquiries within 48 hours
• Process eligible refunds within 7 days of an approved return, in line with our Refund Policy
• Maintain product quality consistent with their listings
• Comply with all applicable Nigerian laws and regulations, including those administered by CAC, NAFDAC, and the FCCPC, as relevant to their goods or services
• Promptly report any data breach affecting customer information

8. Shipping and Fulfilment

Vendoriz Solutions Limited is strictly a technology platform and does not operate a fulfilment centre, hold inventory, or handle physical products. All products listed on VendSoli are shipped directly from Vendors to Buyers. Vendors are responsible for packaging, engaging their preferred courier services, meeting stated delivery timelines, and providing tracking information to Buyers. 9. Returns, Refunds, and Disputes

Disputes between Buyers and Vendors are handled through our internal mediation process, which includes a support intake step, a mediation period during which the Vendor is contacted within 24 hours, an investigation based on evidence such as tracking information, delivery confirmation, or product photos, and a resolution stage where funds are released to the appropriate party or a refund is processed. Unresolved disputes may be escalated, and Vendoriz Solutions Limited may temporarily hold disputed funds pending additional documentation. Full details are set out in our Refund Policy.

10. Acceptable Use

You agree not to misuse VendSoli or assist others in doing so. Prohibited conduct includes, but is not limited to, listing fake or misrepresented products, artificially inflating prices, collecting customer information outside the platform for phishing or scam purposes, harassing other users or our staff, using the platform to launder funds, and filing fraudulent chargeback claims. 11. Intellectual Property

All content on VendSoli, including the platform design, software, logos, and trademarks, is the property of Vendoriz Solutions Limited or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the platform without prior written permission, except for content you have lawfully uploaded as a Vendor.

12. Privacy

Your use of VendSoli is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with the Nigeria Data Protection Act, 2023.

13. Suspension and Termination

Vendoriz Solutions Limited may suspend or terminate any account, withhold funds, or remove listings where there is reasonable cause to believe these Terms, our Acceptable Use Policy, or applicable law has been violated. Where appropriate, violations may be reported to relevant regulatory or law enforcement authorities.

14. Limitation of Liability

To the fullest extent permitted by Nigerian law, Vendoriz Solutions Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to the quality, safety, legality, or delivery of products listed by Vendors. Our role is limited to that of a technology and payment facilitation platform.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use of VendSoli after such changes constitutes acceptance of the updated Terms.
